The agreement between you and MoldLean.

This document is a starting-point template generated for the MoldLean launch. Before publishing or relying on it commercially, have it reviewed by a qualified attorney in your jurisdiction. Dates and versions below are placeholders.
These Terms of Service (“Terms”) govern your access to and use of the MoldLean web application and related services (the “Service”), operated by Armenta & Marquez Dental Technologies (“MoldLean”, “we”, “us”), a company organized under the laws of Mexico. By creating an account, clicking “I accept”, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
You confirm that:
- You are at least 18 years old.
- You have authority to bind the entity you represent.
- You have read and agree to our Privacy Policy and, if applicable, the Data Processing Addendum.
2. Description of the Service
MoldLean is a SaaS web application that processes 3D dental mould files (STL+PTS pairs) to reduce mould height while preserving the contact surface. The Service is web-only during beta and provided without a formal SLA. We may add, change or remove features at any time; material reductions to existing paid functionality will be announced at least 30 days in advance.
3. Account registration
- Provide accurate, complete and current information.
- Keep your password and 2FA secret confidential.
- Notify us at security@moldlean.com of any unauthorized access.
- One account per natural person.
4. Acceptable use
You agree not to:
- Upload PHI under HIPAA unless your organization has the HIPAA tier active and a signed Business Associate Agreement on file.
- Upload files you do not have rights to.
- Upload malicious content or content infringing third-party rights.
- Reverse-engineer, scrape or bypass authentication / rate limits.
- Resell or sublicense access without our written authorization.
- Exceed file size limits (currently 2 GB per ZIP).
5. Credits and pricing
5.1 What is a credit?
1 credit = 1 STL file processed successfully.
5.2 Trial credits
On registration we grant 10 free trial credits. Trial credits have no cash value and are non-transferable.
5.3 Purchased credits
- Do not expire.
- Are not transferable between accounts.
- Are non-refundable except as required by law.
5.4 Pricing
Current pricing is published at moldlean.com/#pricing. We may change prices for new purchases with 30 days notice. Credits already purchased are not affected.
5.5 Failed processing
Credits for files that fail due to causes attributable to the Service are automatically refunded to your balance within 24 hours.
6. Payment terms
All payments are processed by Paddle.com Market Ltd as Merchant of Record. Taxes are calculated and remitted by Paddle. All sales are final except: (i) credits restored after a failed processing run; (ii) a statutory withdrawal right (e.g. 14-day EU consumer right — lost with respect to credits already consumed); (iii) a discretionary refund granted in writing by our billing team.
7. Intellectual property
Your content. You retain all rights in the files you upload. You grant us a worldwide, royalty-free, non-exclusive license to host, process and produce derived files solely to provide the Service to you. We do not use Customer Content to train machine-learning models or for any purpose unrelated to the Service.
Our Service. Software, designs, logos and engines are the intellectual property of MoldLean and our licensors. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

9. Confidentiality
Each party holds the other's Confidential Information in confidence and uses it only to perform under these Terms. The obligation survives 5 years post-termination; for trade secrets it survives indefinitely.
10. Service availability
During beta the Service is provided best-effort with no formal SLA. We aim for 99.5% monthly uptime excluding scheduled maintenance. See status for current health.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. The Service is a software tool. You are responsible for clinical review of any output before using it in a patient treatment workflow. MoldLean does not practice dentistry and does not guarantee that any output is suitable for any specific clinical purpose.
12. Limitation of liability
To the maximum extent permitted by law, each party's aggregate liability under these Terms shall not exceed the fees you paid in the 12 months preceding the event giving rise to the claim, or USD 100, whichever is greater. Neither party is liable for indirect, incidental, consequential, exemplary or punitive damages.
These limitations do not apply to (a) breach of confidentiality, (b) IP infringement, (c) indemnification obligations, (d) gross negligence or willful misconduct, (e) liability that cannot be limited by mandatory law.
13. Indemnification
You will indemnify MoldLean against third-party claims arising out of: your Customer Content (including PHI uploaded without an active BAA), your breach of these Terms, or your violation of applicable law. We will indemnify you against third-party claims that the Service as provided by us infringes IP rights.
14. Termination
You may cancel at any time from Account → Delete account. We may suspend or terminate your account for material breach with 14 days cure notice, for security or legal risk, or for non-payment with 14 days cure. Upon termination your data is deleted per the retention schedule and you may export your data for up to 30 days.
15. Modifications
For material adverse changes we will give 30 days prior notice by email and in-app banner. Continued use after the effective date constitutes acceptance. If you do not accept, you may terminate before the change with a pro-rata refund of unused paid credits.
16. Governing law and dispute resolution
Governed by the laws of Mexico (specific state TBD). Disputes are finally resolved by arbitration administered under the rules of the arbitral institution TBD (e.g. Centro de Arbitraje de Mexico) in Mexico City. The language of arbitration is English unless both parties agree otherwise.
Consumer rights: EU/UK consumers retain the protection of mandatory local laws and the right to bring proceedings in their local courts. No class actions where permitted by law.
17. Miscellaneous
- Entire agreement (these Terms + Privacy Policy + DPA + order form).
- Severability: invalid provisions do not invalidate the rest.
- No waiver from failure to enforce.
- You may not assign without our consent; we may assign on M&A.
- Force majeure exclusions apply.
- Notices: we email the address on your account; legal notices to legal@moldlean.com.
- English version of these Terms prevails over any translation provided for convenience.
